CONDITIONS OF SALE & TERMS AND CONDITIONS

These Conditions of Sale and Terms and Conditions (?Conditions?) govern all auctions and sales conducted by Coral Gables Auction (?Coral Gables Auction,? ?we,? ?us,? or ?our?), whether conducted live, online, by telephone, absentee bid, through any third-party online bidding platform (?Bidding Platform?), or by any other bidding method authorized by Coral Gables Auction.

By registering for an auction, submitting or placing a bid, or purchasing a lot, each bidder and buyer acknowledges that they have read, understood, and agreed to be bound by these Conditions, together with any auction-specific notices, catalog notices, announcements, or additional terms applicable to a particular auction or lot.

1. ACCEPTANCE OF TERMS

Registration for an auction and/or placement of a bid constitutes acceptance of these Conditions.

These Conditions apply to all bidders and buyers regardless of the method or Bidding Platform used to participate.

Coral Gables Auction reserves the right to supplement or amend these Conditions by written notice, catalog notice, online notice, or announcement made before or during an auction, to the extent permitted by applicable law.

2. REGISTRATION AND BIDDER VERIFICATION

All bidders must register and be approved before participating in an auction.

Coral Gables Auction may require valid government-issued identification, proof of address, credit card information, bank references, proof of funds, deposits, or other information reasonably necessary to verify a bidder's identity, financial ability, or eligibility to participate.

Coral Gables Auction reserves the right, in its discretion and to the extent permitted by law, to approve, reject, suspend, limit, or revoke bidding privileges.

Registration is personal to the registered bidder. Bidders are responsible for maintaining the security of their accounts and for bids submitted through their registered accounts, subject to applicable law.

3. PROPERTY OFFERED FOR SALE

Coral Gables Auction generally acts as agent for consignors whose identities are confidential unless disclosure is required by applicable law.

Coral Gables Auction may also offer property owned wholly or partly by Coral Gables Auction, its principals, affiliates, or other parties having an interest in the property, where permitted by law and disclosed when legally required.

4. ALL PROPERTY SOLD ?AS IS, WHERE IS?

ALL LOTS ARE OFFERED AND SOLD ?AS IS, WHERE IS,? WITH ALL FAULTS AND IMPERFECTIONS, whether visible, known, unknown, disclosed, or undisclosed, to the fullest extent permitted by applicable law.

Prospective bidders are strongly encouraged to inspect lots personally before bidding or to request additional photographs or information when available.

A bidder's decision not to inspect a lot does not relieve the bidder of the obligations resulting from a successful bid.

Except as expressly provided in these Conditions or required by applicable law, ALL SALES ARE FINAL.

5. CONDITION REPORTS

Condition reports and statements concerning the condition of property are provided solely as a courtesy to prospective bidders and constitute opinions only.

Condition reports are not intended to be comprehensive and should not be interpreted or relied upon as statements of fact, guarantees, representations, or warranties.

The absence of a condition report, or the failure to mention a particular defect, does not mean that a lot is in perfect condition or free from wear, damage, losses, restoration, repairs, alterations, defects, imperfections, or the effects of age and use.

Bidders are encouraged to inspect property personally or obtain independent professional advice before bidding whenever condition is material to their purchasing decision.

6. CATALOG DESCRIPTIONS, ATTRIBUTIONS AND OPINIONS

Unless expressly stated otherwise, all statements made in catalogs, online listings, condition reports, invoices, advertisements, photographs, or elsewhere concerning authorship, artist, maker, attribution, authenticity, period, date, age, culture, origin, provenance, source, materials, dimensions, weight, count, quality, rarity, importance, exhibition history, literature, historical relevance, condition, or value are statements of opinion and not representations or warranties.

Measurements and weights are approximate unless expressly stated otherwise.

Pre-sale estimates represent opinions only. They are not guarantees, warranties, or predictions of the price a lot will achieve.

Photographs and digital images are provided for identification and informational purposes. Color, tone, scale, texture, finish, brightness, and overall appearance may vary because of photography, lighting, monitors, devices, image processing, or other technical factors.

No employee, auctioneer, representative, or agent of Coral Gables Auction is authorized to make any representation or warranty inconsistent with these Conditions unless expressly confirmed in writing by an authorized representative of Coral Gables Auction.

7. LIMITED AUTHENTICITY CLAIMS AND RETURN POLICY

Except as expressly provided in this Section, all sales are final and no refunds, returns, exchanges, cancellations, or refusals will be accepted.

Notwithstanding the foregoing, Coral Gables Auction may consider a claim concerning the authenticity of a purchased lot only under the following conditions.

7.1 Thirty-Day Claim Period

Any claim concerning authenticity must be submitted to Coral Gables Auction in writing within thirty (30) calendar days from the date the buyer receives the property.

Claims received after this thirty-day period will not be considered, except where otherwise required by applicable law.

7.2 Written Notice and Supporting Documentation

The buyer must notify Coral Gables Auction in writing and clearly identify the lot, auction, invoice, and specific basis for the authenticity claim.

The buyer must provide credible and substantive written evidence supporting the claim.

Coral Gables Auction may require, at the buyer's expense, a written opinion or report from a recognized and qualified independent expert, scholar, authentication committee, artist's foundation, catalogue raisonn? authority, gemological laboratory, watch manufacturer, or other appropriate authority reasonably acceptable to Coral Gables Auction.

An unsupported opinion, personal belief, online discussion, resale rejection, difference of opinion, or inability to resell the property shall not, by itself, constitute sufficient evidence that a lot is not authentic.

7.3 No Automatic Right of Return

Submission of an authenticity claim does not automatically entitle the buyer to cancel the sale, return the property, receive a refund, or withhold payment.

Coral Gables Auction shall have a reasonable opportunity to review the claim and supporting documentation and may obtain additional independent opinions or testing.

The buyer shall reasonably cooperate with Coral Gables Auction's investigation.

7.4 Property Must Remain Unaltered

The property must be maintained in substantially the same condition in which it was sold and received.

A claim may be denied if, after the sale, the property has been materially altered, restored, repaired, cleaned, reframed, remounted, resized, modified, disassembled, damaged, engraved, polished, had components replaced or removed, or otherwise changed in a manner that materially interferes with evaluation of the authenticity claim, except where Coral Gables Auction authorized the action in writing or applicable law provides otherwise.

7.5 Return for Examination

If requested by Coral Gables Auction, the buyer must return the property for examination in accordance with shipping and insurance instructions provided by Coral Gables Auction.

Unless otherwise agreed in writing or required by law, the buyer is responsible for properly packing, insuring, and returning the property.

No property should be returned without prior written authorization from Coral Gables Auction.

7.6 Determination of Claim

Coral Gables Auction may review the original catalog description, photographs, provenance information, expert opinions, scientific testing, documentation supplied by the consignor and buyer, and any other information reasonably relevant to the claim.

Coral Gables Auction may consult one or more independent experts or recognized authorities.

A difference of scholarly opinion or a change in generally accepted attribution does not necessarily establish that the property was incorrectly described at the time of sale.

7.7 Exclusions

Unless otherwise required by applicable law, this limited policy does not apply to claims based solely upon:

(a) condition, wear, restoration, repair, alteration, damage, or imperfections;

(b) dimensions, weight, color, tone, framing, mounting, or appearance;

(c) estimates or market value;

(d) provenance unless expressly warranted in writing;

(e) inability to resell the property or obtain a particular resale price;

(f) refusal by another auction house, dealer, gallery, marketplace, authentication service, or potential purchaser to accept or sell the property;

(g) differences of opinion among experts;

(h) changes in scholarship, attribution, generally accepted opinion, or catalogue raisonn? information occurring after the sale;

(i) information disclosed in the catalog description, condition report, photographs, or other sale materials; or

(j) matters that a reasonable pre-sale inspection would have revealed and that do not concern authenticity.

7.8 Jewelry, Gemstones and Watches

Descriptions of gemstones, diamonds, precious metals, treatments, enhancements, weights, grades, origins, watch movements, components, serial numbers, replacement parts, and other characteristics may be based upon available information and are subject to the limitations stated elsewhere in these Conditions.

Unless expressly stated otherwise, Coral Gables Auction does not warrant that watches contain only original components or that gemstones have not been treated or enhanced.

Where a lot is accompanied by a laboratory report, certificate, appraisal, manufacturer's documentation, or other third-party document, such document represents the opinion or information of its issuer.

Coral Gables Auction does not independently warrant the accuracy of third-party reports or certificates unless expressly stated otherwise in writing.

7.9 Artwork and Artist Attributions

Terms concerning authorship or attribution, including but not limited to ?attributed to,? ?studio of,? ?workshop of,? ?circle of,? ?school of,? ?manner of,? ?after,? ?style of,? ?follower of,? and similar expressions, indicate varying degrees of opinion and should not be interpreted as an unconditional guarantee of authorship.

Only a description expressly identifying a work as being by a named artist, without qualifying attribution language, may be considered for an authenticity claim under this Section, subject to all other requirements and exclusions contained herein.

7.10 Remedy for a Valid Authenticity Claim

If Coral Gables Auction determines that a timely authenticity claim is valid and accepts rescission of the sale, the buyer must return the property to Coral Gables Auction in the condition required by these Conditions and transfer good and marketable title to the property, free of liens, claims, or encumbrances.

Upon satisfactory return and acceptance of the property, Coral Gables Auction's liability shall, to the fullest extent permitted by applicable law, be limited to refunding amounts actually paid by the buyer to Coral Gables Auction for the affected lot.

Coral Gables Auction shall not be responsible for changes in market value, anticipated profits, loss of resale opportunities, financing costs, appraisal expenses, expert fees, restoration costs, shipping expenses, insurance expenses, travel expenses, or other incidental or consequential losses, except where applicable law requires otherwise.

7.11 Exclusive Claimant

An authenticity claim may be made only by the original registered buyer of record and may not be transferred or assigned to a subsequent owner, dealer, consignee, heir, recipient, or other third party, except where applicable law provides otherwise.

8. INSPECTION

Property may be available for inspection during dates and times designated by Coral Gables Auction.

Each bidder is responsible for satisfying themselves regarding the condition, authenticity, attribution, provenance, dimensions, materials, quality, age, and all other characteristics relevant to their decision to bid.

Coral Gables Auction strongly encourages bidders to request additional information or photographs before bidding if they have questions concerning a lot.

9. RESERVES

Unless expressly announced or advertised otherwise, lots may be offered subject to a confidential reserve.

A reserve is the confidential minimum price below which the consignor has agreed that the property will not be sold.

Where permitted by applicable law, the auctioneer may execute bids on behalf of the consignor up to the reserve.

Consignors may not bid on their own property except as permitted by applicable law.

10. AUCTIONEER'S DISCRETION

To the fullest extent permitted by applicable law, Coral Gables Auction and the auctioneer reserve the right to accept or reject any bid; determine or change bidding increments; advance bidding at their discretion; reject nominal or fractional advances; determine the successful bidder; resolve bidding disputes; reopen bidding where appropriate; withdraw, pass, or re-offer any lot; combine or divide lots; correct clerical, cataloging, or administrative errors; cancel or postpone an auction or portion thereof; and take any other reasonable action necessary for the orderly conduct of the auction.

The auctioneer's determination concerning bidding matters shall be final to the fullest extent permitted by applicable law.

11. SUCCESSFUL BID AND COMPLETION OF SALE

The highest bidder acknowledged by the auctioneer shall be the buyer.

A sale is complete when the auctioneer announces the conclusion of bidding by the fall of the hammer, the word ?SOLD,? or another customary indication that bidding has concluded.

Upon completion of the sale, the successful bidder becomes contractually obligated to pay the full purchase price and all applicable charges.

Coral Gables Auction's records concerning the successful bidder and hammer price shall be controlling in the absence of manifest error.

12. RISK OF LOSS AND RELEASE OF PROPERTY

Risk of loss or damage to purchased property passes to the buyer upon completion of the sale, subject to applicable law and any contrary written terms applicable to a particular auction.

Possession of property will not be released until Coral Gables Auction has received full payment in cleared funds and all applicable requirements have been satisfied.

13. BUYER'S PREMIUM AND PROCESSING FEE

A 30% Buyer's Premium will be added to the hammer price of each lot.

In addition to the Buyer's Premium, a 3% Processing Fee will be charged on each purchase, unless otherwise expressly stated or required by the applicable Bidding Platform or payment method.

Applicable sales tax and any other charges required by law will be added where appropriate.

The Buyer's Premium and Processing Fee form part of the total amount due from the buyer and are payable in addition to the hammer price.

Each bidder is responsible for reviewing and understanding all applicable premiums, processing fees, taxes, shipping charges, and other costs before placing a bid.

14. PAYMENT

Invoices are due promptly following the auction.

Unless Coral Gables Auction agrees otherwise in writing, buyers must complete payment within five (5) calendar days after the initial invoice is issued.

The total amount due may include, as applicable, the hammer price, 30% Buyer's Premium, 3% Processing Fee, sales tax, shipping, storage, handling, and any other applicable charges.

Coral Gables Auction reserves the right to require a particular method of payment depending upon the invoice amount, bidder history, type or value of property, fraud-prevention requirements, or other reasonable considerations.

No property will be released, collected, or shipped until all amounts due have been received in full and in cleared funds.

15. IMPORTANT PAYMENT REQUIREMENT ? INVOICES OVER $5,000

For any invoice with a total amount due exceeding $5,000, including the hammer price, 30% Buyer's Premium, 3% Processing Fee, applicable taxes, and any other applicable fees or charges, payment must be made by check or wire transfer, unless Coral Gables Auction expressly authorizes another payment method in writing.

If payment for an invoice exceeding $5,000 is processed through a Bidding Platform, credit card, debit card, or another unauthorized payment method, Coral Gables Auction reserves the right to refund or reverse the payment to the original payment method and require the buyer to complete payment by check or wire transfer.

Any refund or reversal of an unauthorized payment method does not cancel the sale or release the buyer from the obligation to pay the invoice in full.

Coral Gables Auction may require that payment originate from a bank account held in the name of the registered buyer.

Third-party payments may be refused at Coral Gables Auction's discretion.

16. CHECK PAYMENTS

Property paid for by check may be held until the check has fully cleared and Coral Gables Auction is satisfied that the funds are irrevocably available.

Coral Gables Auction may require a cashier's check, certified check, bank check, or other form of guaranteed funds when appropriate.

Release of property before final clearance of a check is entirely at Coral Gables Auction's discretion.

17. WIRE TRANSFERS

All wire-transfer fees, intermediary bank fees, currency conversion fees, and other bank charges are the buyer's responsibility.

The buyer must ensure that Coral Gables Auction receives the full amount shown on the invoice.

For security purposes, buyers are strongly encouraged to independently verify wire-transfer instructions directly with Coral Gables Auction before transmitting funds.

Coral Gables Auction is not responsible for funds sent to fraudulent or incorrect bank instructions that were not provided or verified by Coral Gables Auction, to the fullest extent permitted by law.

18. PAYMENT VERIFICATION AND FRAUD PREVENTION

Coral Gables Auction reserves the right to request government-issued identification, proof of address, bank information, proof of funds, confirmation of payment source, or other documentation reasonably necessary to verify a transaction, prevent fraud, or comply with applicable legal or financial requirements.

Coral Gables Auction may delay the release or shipment of property while verification is pending.

19. SALES TAX

Applicable sales tax will be collected as required by law.

Florida purchasers claiming a resale exemption must provide a valid and properly completed resale certificate or other documentation acceptable to Coral Gables Auction.

If satisfactory exemption documentation is not received when required, applicable sales tax may be charged.

Buyers are responsible for any use tax, sales tax, VAT, customs duty, or other tax or governmental charge that may apply to their purchase or shipment.

20. NONPAYMENT AND BUYER DEFAULT

A successful bid creates a binding obligation to purchase the lot.

If a buyer fails to make full payment when due or otherwise breaches these Conditions, Coral Gables Auction may, subject to applicable law and without limiting any other available remedy:

(a) cancel the sale;

(b) hold the buyer liable for the full purchase price, including the hammer price, Buyer's Premium, Processing Fee, applicable taxes, storage charges, and all other amounts due under these Conditions;

(c) retain deposits or payments to the extent legally permitted;

(d) charge reasonable storage, handling, administrative, collection, legal, and other costs resulting from the default;

(e) resell the property publicly or privately;

(f) hold the defaulting buyer responsible for any deficiency between the original purchase price and the net proceeds obtained upon resale, together with reasonable costs associated with the resale;

(g) apply funds otherwise owed to the buyer against amounts owed by the buyer to Coral Gables Auction;

(h) suspend, restrict, or permanently revoke bidding privileges;

(i) report the default or nonpayment to the applicable Bidding Platform, payment processor, collection service, or other appropriate party where permitted by law; and/or

(j) pursue any other remedy available under applicable law.

21. CHARGEBACKS AND PAYMENT DISPUTES

Buyers who believe an invoice or transaction contains an error should promptly contact Coral Gables Auction so the matter can be investigated.

Initiating a chargeback or payment dispute does not, by itself, cancel the auction sale or relieve the buyer of contractual obligations arising from a successful bid.

Coral Gables Auction reserves the right to contest improper or fraudulent chargebacks and to provide transaction records, bidding records, invoices, photographs, correspondence, shipping records, these Conditions, and other relevant documentation to a Bidding Platform, payment processor, card issuer, financial institution, collection service, or other appropriate party.

Nothing in this provision limits rights that cannot lawfully be waived.

22. COLLECTION OF PURCHASES

Buyers are responsible for arranging collection of purchased property at their own expense.

No property may be collected until Coral Gables Auction has received full payment in cleared funds and all applicable requirements have been satisfied.

The buyer or an authorized representative may be required to present identification before property is released.

Once property is released to the buyer, buyer's representative, shipper, carrier, or other authorized party, Coral Gables Auction shall have no further responsibility for its custody, handling, transportation, or delivery except as required by applicable law.

23. SHIPPING, PACKING AND INSURANCE

Unless expressly agreed otherwise in writing, shipping, packing, handling, insurance, customs, and transportation are the buyer's responsibility and expense.

Coral Gables Auction may provide information concerning independent third-party packers, carriers, or shipping companies solely as a convenience to buyers.

Unless Coral Gables Auction expressly agrees in writing to provide shipping itself, any third-party shipper, carrier, packer, freight company, courier, or delivery service is independent of Coral Gables Auction.

To the fullest extent permitted by law, Coral Gables Auction assumes no responsibility for the acts, omissions, delays, loss, theft, damage, packing methods, insurance coverage, or other conduct of independent third-party shipping providers.

The buyer is responsible for determining whether appropriate insurance coverage has been obtained.

24. STORAGE

Purchased property should be collected promptly.

Any lot remaining on Coral Gables Auction premises for more than thirty (30) business days following the sale may incur a storage and handling charge of $5.00 per lot, per day.

Coral Gables Auction may transfer uncollected property to an off-site storage facility at the buyer's risk and expense where permitted by applicable law.

All applicable storage, handling, transportation, insurance, and related charges must be paid before property is released.

25. LONG-TERM UNCOLLECTED PROPERTY

If paid property remains uncollected for an extended period, including property remaining uncollected for more than three (3) months, Coral Gables Auction may provide notice to the buyer and exercise any rights available under applicable law regarding continued storage, transfer, resale, disposition, or other treatment of the property.

Coral Gables Auction will exercise such rights only to the extent permitted by applicable law.

The buyer remains responsible for applicable storage, transportation, handling, and related charges to the extent permitted by law.

26. EXPORT, IMPORT AND RESTRICTED MATERIALS

The buyer is solely responsible for determining and obtaining any licenses, permits, certificates, approvals, or other documentation required to export, import, possess, transport, or receive purchased property.

Certain property containing ivory, tortoiseshell, coral, exotic woods, wildlife products, endangered or protected species materials, cultural property, or other regulated materials may be subject to federal, state, foreign, or international restrictions.

The inability or delay in obtaining an export license, import license, permit, certificate, or other governmental authorization does not automatically cancel a sale or excuse the buyer's obligation to pay, except where required by applicable law.

27. ONLINE AND THIRD-PARTY BIDDING PLATFORMS

Online bidding may be made available through one or more independent third-party online bidding platforms (?Bidding Platforms?) selected or authorized by Coral Gables Auction.

Bidders participating through a Bidding Platform are responsible for understanding and complying with the operation, procedures, terms, fees, and requirements of the platform through which they participate.

Coral Gables Auction may simultaneously accept bids from multiple Bidding Platforms, telephone bidders, absentee bidders, in-person bidders, and any other authorized bidding method.

Coral Gables Auction shall not be responsible, to the fullest extent permitted by applicable law, for any failure, delay, error, omission, interruption, transmission problem, system outage, latency, malfunction, lost connection, or other technical issue involving the Internet, telecommunications systems, computers, servers, software, hardware, or any Bidding Platform.

Coral Gables Auction does not guarantee that an online bid will be received, transmitted, recognized, or accepted before bidding closes.

Because different Bidding Platforms and bidding methods may have different transmission or processing times, competing bids may be received or displayed at slightly different times.

The auctioneer shall have final authority, subject to applicable law, to determine the successful bid and bidder and to resolve competing, simultaneous, disputed, or delayed bids.

Bidders participating through a Bidding Platform may also be subject to that platform's separate terms, conditions, fees, and privacy policies.

As between Coral Gables Auction and the bidder or buyer concerning the auction transaction itself, these Conditions shall govern to the fullest extent permitted by applicable law.

28. ABSENTEE AND TELEPHONE BIDS

Coral Gables Auction may accept absentee and telephone bids as a courtesy and subject to availability.

Coral Gables Auction will use reasonable efforts to execute properly submitted absentee and telephone bids but does not guarantee that such bids will be successfully executed or transmitted.

To the fullest extent permitted by law, Coral Gables Auction shall not be responsible for errors or failures involving absentee or telephone bidding.

29. BID ERRORS AND RETRACTIONS

Bidders are responsible for reviewing bids carefully before submitting them.

Bids may not be withdrawn or canceled merely because a bidder changes their mind.

Any bidder who believes a bid was submitted in error should contact Coral Gables Auction immediately.

Any request to cancel, correct, or retract a bid is subject to Coral Gables Auction's discretion and applicable law.

30. DISPUTED OR SIMULTANEOUS BIDS

If a dispute arises concerning bidding, the successful bidder, the amount of a bid, the sequence of bids, or whether a lot was sold, Coral Gables Auction and the auctioneer may resolve the matter in their reasonable discretion and may reopen bidding when legally permissible.

Coral Gables Auction's contemporaneous auction records shall be given substantial weight in resolving any bidding dispute.

31. WITHDRAWAL, PASSING OR CANCELLATION OF LOTS

Coral Gables Auction reserves the right, where permitted by law, to withdraw, pass, re-offer, or cancel any lot before or during an auction.

Coral Gables Auction may also correct or update catalog descriptions, estimates, photographs, lot numbers, condition information, or other information before or during the auction.

32. PRIVACY AND CONFIDENTIALITY

Coral Gables Auction respects the privacy of bidders, buyers, and consignors.

Information collected in connection with registration, bidding, payment, shipping, compliance, fraud prevention, or customer service may be used as reasonably necessary to conduct auctions, administer transactions, communicate with customers, verify identities, process payments, prevent fraud, and comply with applicable law.

Information may be disclosed when reasonably necessary to Bidding Platforms, payment processors, financial institutions, shipping providers, professional advisers, service providers, government authorities, law enforcement, or other parties involved in administering or protecting the transaction.

Coral Gables Auction does not sell customer personal information for unrelated marketing purposes.

Bidder and consignor identities will otherwise be treated as confidential to the extent reasonably practicable and permitted by law.

33. PERSONAL INJURY AND PROPERTY DAMAGE

Persons attending previews, auctions, collections, inspections, or other activities at Coral Gables Auction premises do so subject to applicable premises rules and law.

To the fullest extent permitted by law, Coral Gables Auction, the auctioneer, consignors, employees, representatives, and agents shall not be liable for personal injury or property damage occurring on the premises except to the extent such liability cannot legally be excluded or limited.

34. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Coral Gables Auction shall not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising out of or relating to an auction, bid, purchase, Bidding Platform, payment, collection, shipment, or these Conditions.

Nothing in these Conditions excludes or limits any liability that cannot lawfully be excluded or limited.

35. GOVERNING LAW

These Conditions and all transactions between Coral Gables Auction and bidders or buyers shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable federal or other controlling law provides otherwise.

36. JURISDICTION AND VENUE

To the fullest extent permitted by applicable law, any legal action or proceeding arising out of or relating to an auction, registration, bid, purchase, payment, collection, shipment, or these Conditions shall be brought in a court of competent jurisdiction located in Miami-Dade County, Florida.

Each bidder and buyer consents to the jurisdiction and venue of such courts to the extent permitted by law.

37. SEVERABILITY

If any provision of these Conditions is determined by a court or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed as appropriate.

The remaining provisions shall remain in full force and effect.

38. NO WAIVER

Failure or delay by Coral Gables Auction in exercising or enforcing any right or provision under these Conditions shall not constitute a waiver of that right or provision.

A waiver on one occasion shall not constitute a waiver on any subsequent occasion.

39. ENTIRE AGREEMENT

These Conditions, together with any applicable auction-specific notices, catalog notices, written amendments, invoices, and legally controlling terms applicable to a particular transaction, constitute the agreement between Coral Gables Auction and the bidder or buyer concerning the auction transaction.

No oral statement by an employee, auctioneer, representative, or agent shall modify these Conditions unless confirmed in writing by an authorized representative of Coral Gables Auction.
